Payment Processing Terms
UNC uses Payrexx AG for payment processing. Additional terms apply for clubs accepting payments and students making purchases. Please review our UNC-Payrexx Payment Terms for complete payment service details.
1. Contracting Party
These Terms and Conditions (“Terms”) govern the relationship between Evanescor GmbH, Switzerland (hereinafter “UNC”, “we” or “the provider”) and:
- Students — individuals who register a personal account on the platform.
- Clubs — student organizations registered on UNC that use it to manage their members, events, and operations.
Together referred to as “users”. Sections that apply only to students or only to clubs are marked accordingly.
2. Scope of Services
UNC provides a digital platform for students and clubs, including the provision of data-driven insights and academic resources. Core features include:
- Registration and login (including OAuth via universities)
- Management of club memberships and events
- Payment processing for clubs and events (via third-party providers such as Payrexx)
- Communication and information services for students
UNC continuously develops and improves the platform. Features that are provided free of charge will remain free. UNC may retire or replace individual features for technical or operational reasons, but will not move existing free features behind a paywall.
3. Registration and Contract Formation
- Use of the platform requires registration with a valid university email address or a verified private email account.
- By completing the registration, a contractual relationship between Evanescor GmbH and the user is established.
- Club accounts are created by UNC. The club receives administration rights and can then independently add further members and administrators.
4. Obligations of All Users
- Users must provide accurate and complete information during registration. Users are responsible for the accuracy of all information and documents submitted. The provision of intentionally misleading data is a breach of these terms.
- Accounts may not be transferred to third parties.
- Any misuse of the platform, in particular the unauthorized use of third-party data, is prohibited.
- Users may only upload content (texts, images, logos, documents) for which they hold the necessary rights or a valid licence. By uploading content, users warrant that its publication on UNC does not infringe copyrights, trademarks, personality rights or other rights of third parties.
- Users grant UNC a non-exclusive, royalty-free licence to host, store, display and technically adapt such content to the extent required to operate the platform.
5. Additional Obligations for Clubs
In addition to Section 4, clubs and their administrators agree to the following:
- Clubs shall indemnify and hold UNC harmless from all third-party claims arising from content uploaded by the club or its administrators, including reasonable costs of legal defence. UNC will inform the club promptly of any such claim. UNC may disclose the identity and contact details of the club to the claimant.
- Clubs must use member data accessed through UNC only for legitimate club purposes — membership management, event organization, and club communications.
- CVs, transcripts, and other documents submitted by applicants are provided solely for evaluating the relevant application. Clubs must not redistribute or repurpose submitted documents.
- If a club exports data from UNC (e.g., member lists, applicant CSVs), the club is solely responsible for the security and lawful handling of the exported copy. Exported data should be deleted when no longer needed.
6. Prices and Payment Processing
- The core platform — including member management, event management, ticketing, analytics, and all features available at the time of registration — is free for both students and clubs.
- When clubs use UNC Payments to collect fees or sell tickets online, standard transaction processing fees apply. These fees are displayed on the pricing page. Using UNC Payments is optional; clubs may handle payments independently at no cost.
- UNC may introduce optional new products or services in the future. These will be clearly separate from the existing free platform and will never require payment to continue using features that were previously free.
- Payments are processed via external payment service providers. Their terms and conditions apply in addition. See our Payment Terms for details.
7. Data Processing
When clubs use UNC to manage their members and events, we process personal data on their behalf. This section constitutes the data processing agreement between UNC and participating clubs in accordance with Art. 28 GDPR and Art. 9 DSG. Details about what data we collect and how we protect it are described in our Privacy Policy.
7.1 Roles
For club-specific data (member lists, event registrations, applications, payments, communications), the club is the Controller and UNC is the Processor. UNC processes this data according to the club's use of the platform.
For everything else — user accounts, authentication, platform security, aggregated analytics, the use of data to build and refine internal models that surface relevant content, opportunities, and matches, and the improvement and development of new features — UNC acts as an independent Controller. These activities are governed by the Privacy Policy.
7.2 What We Process on Behalf of Clubs
- Member management — Names, emails, phone numbers (if shared by the user), profile pictures, university info, application answers
- Events — Registration data, CVs, transcripts, application documents, attendance records
- Payments — Who paid, how much, when, payment method and status (we never store card or bank details)
- Communications — Confirmation emails, approval/rejection notices, and reminders sent on the club's behalf
- Ticketing & check-in — Ticket data, QR codes, check-in timestamps
All data is isolated per club. Club admins can only access data within their own club's scope.
7.3 Security Measures
- Encryption in transit (HTTPS)
- Role-based access control with per-club isolation
- OAuth2 authentication with PKCE, token rotation, and university SSO
- Comprehensive audit logging, automatically anonymized after 2 years
- Private files (CVs, transcripts, documents) accessible only via authenticated routes with signed URLs — every access is logged
- Automated cleanup of expired tokens, stale registrations, and old data
- Primary infrastructure hosted in the EU (Netherlands)
7.4 Service Providers (Sub-processors)
We use third-party service providers to operate the platform. By accepting these Terms, clubs authorize their use. The full list of providers, their purposes, and locations is available in our Privacy Policy (Section 5). This list may be updated from time to time; continued use of the platform constitutes acceptance.
7.5 Data Retention and Deletion
- Student account deletion: When a student deletes their account, their personal data is deleted or anonymized. CVs and documents are removed from storage. Historical records (e.g., event attendance) are anonymized in club data.
- Club departure: If a club stops using UNC, it has at least 30 days to export its data. After that, personal data processed on the club's behalf is deleted.
- Anonymized data: Anonymized and aggregated data (which no longer constitutes personal data) may be retained indefinitely for analytics and platform improvement.
7.6 Data Breaches
If we discover a personal data breach affecting a club's data, we will notify the club within 72 hours with details about the nature of the breach, who is affected, and the measures taken.
8. Reporting and Removal of Content
- UNC acts as a host for content published by users and is not obliged to review such content prior to publication.
- Rights holders may report allegedly infringing content via the contact details below.
- UNC may remove or block content without prior notice if it receives a plausible notice of infringement or otherwise has reason to believe that content violates these Terms or applicable law. Repeated violations may lead to suspension of the account.
9. Term and Termination
- The user agreement is concluded for an indefinite period.
- Users may terminate the contract at any time by deleting their account.
- If a user has purchased optional paid products or services, termination of those products is governed by the terms displayed at the time of purchase.
- UNC reserves the right to terminate the contract without notice for good cause (e.g., misuse, payment default, or legal violations).
10. Liability
- UNC provides the platform free of charge. Accordingly, UNC is liable only for damages caused by willful misconduct or gross negligence. Any liability for slight negligence is excluded to the fullest extent permitted by law.
- In any case, UNC's aggregate liability shall not exceed CHF 1,000.
- UNC accepts no liability, to the extent legally permissible, for technical failures, data losses, or third-party content.
- Clubs are solely responsible for the content they publish via UNC and for their own use or misuse of personal data accessed through the platform, including any claims by third parties regarding such content (see Section 5).
- All data, including grade distributions and academic statistics, are provided for informational purposes only. UNC does not guarantee the accuracy of such third-party data.
11. Amendments
UNC reserves the right to amend these Terms at any time. Users will be notified in an appropriate manner. If a user does not object within 30 days, the changes will be deemed accepted. Material changes will require active reacceptance upon next login.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
13. Governing Law and Jurisdiction
- Swiss law applies, excluding international conflict-of-law provisions.
- The place of jurisdiction for all disputes, to the extent legally permissible, is the registered office of Evanescor GmbH (St. Gallen, Switzerland).
